OVERVIEW

This website and store (the “Services”) are operated by WiperJet. Throughout the site, the terms “we”, “us” and “our” refer to MB Latvilita, which operates the WiperJet store. MB Latvilita offers these Services, including all information, tools, products, and services available from this site to you, the user (the "Buyer"), conditioned upon your acceptance of all terms, conditions, policies, and notices stated here.

Our store is hosted on Shopify Inc. They provide us with the online e-commerce platform that allows us to sell our products and services to you.

By visiting our site and/or purchasing something from us, you engage in our "Services" and agree to be bound by the following terms and conditions (“Terms”, "Terms and Conditions"), including those additional terms and policies referenced herein. These Terms apply to all users of the site, including without limitation users who are browsers, vendors, customers, merchants, and/ or contributors of content.

SECTION 1 - GENERAL PROVISIONS & ACCESS

1.1. By agreeing to these Terms, you represent that you are at least 18 years of age (or the age of majority in your territory of residence) and you have given us your consent to allow any of your minor dependents to use this site.

1.2. The purchase-sale agreement (the "Contract") between you and us is deemed concluded from the moment we send you an order confirmation email.

1.3. You may not use our products for any illegal or unauthorized purpose nor may you, in the use of the Service, violate any laws in your jurisdiction (including but not limited to copyright laws).

1.4. You are responsible for maintaining the security of your account credentials, if any. We are not liable for any loss or damage from your failure to maintain the security of your account.

1.5. A breach or violation of any of the Terms will result in an immediate termination of your Services.

SECTION 2 - OUR PRODUCTS

2.1. We have made every effort to display as accurately as possible the colors and images of our products. We cannot guarantee that your computer monitor's display of any color will be accurate.

2.2. All descriptions of products or product pricing are subject to change at any time without notice, at our sole discretion. We reserve the right to discontinue any product at any time. We may limit the quantities of any products we offer.

2.3. We do not warrant that the quality of any products, services, information, or other material purchased or obtained by you will meet your expectations, beyond your statutory rights outlined in Section 5 and 6.

SECTION 3 - PRICES AND BILLING

3.1. All Product prices in the Store are quoted in Euros (EUR) and are inclusive of Value Added Tax (VAT) applicable in the Republic of Lithuania.

3.2. Delivery costs are not included in the Product price. These are clearly displayed to you during the checkout process before the order is confirmed.

3.3. Prices for our products are subject to change without notice. The price applicable to your order is the price in effect at the moment we confirm your order.

3.4. We reserve the right to refuse any order you place with us. We may, in our sole discretion, limit or cancel quantities purchased per person, per household or per order. In the event that we make a change to or cancel an order, we will attempt to notify you by contacting the e‑mail and/or billing address/phone number provided at the time the order was made.

3.5. You agree to provide current, complete, and accurate purchase and account information for all purchases made at our store. You represent and warrant that (i) the payment information you provide is true, correct, and complete, (ii) you are duly authorized to use such payment method, and (iii) charges incurred by you will be honored by your credit card company.

3.6. You represent and warrant that your purchases are for your own personal or household use and not for commercial resale or export.

SECTION 4 - SHIPPING AND DELIVERY

4.1. We will make every effort to deliver the Products within the estimated delivery time specified at checkout, and in any event, not later than 30 (thirty) days from the Contract conclusion.

4.2. Delivery times are estimates only. We are not liable for shipping and delivery delays caused by the shipping carrier, customs processing, or other events of force majeure (unforeseeable circumstances beyond our control).

4.3. The risk of accidental loss or damage to the Products passes to you from the moment the Products are handed over to you or your authorized representative.

4.4. Upon receiving the shipment, you must check the condition of the package. If you notice the package is damaged (e.g., torn, wet, or otherwise externally damaged), you must note this in the carrier's delivery document or refuse to accept the shipment. Failure to do so may limit your ability to claim for carrier-inflicted damages.

SECTION 5 - LEGAL GUARANTEE (PRODUCT CONFORMITY)

5.1. This section applies to all Buyers, in accordance with EU and Lithuanian law. We are legally responsible for the conformity of the products we sell.

5.2. All Products sold in our Store are subject to a mandatory 2 (two) year legal guarantee of conformity. This means we are liable for any lack of conformity (e.g., the product is faulty, not as described, or not fit for its intended purpose) that exists at the time of delivery and which becomes apparent within 2 (two) years from that time.

5.3. If a Product is found to be non-conforming, you have the right to request:

a) Repair of the Product; or

b) Replacement of the Product.

You may choose between repair or replacement, unless one of these options is impossible or would impose a disproportionate cost on us.

5.4. You are entitled to a proportionate price reduction or to terminate the Contract (and receive a full refund) only if:

a) Repair or replacement is impossible;

b) We have not completed the repair or replacement within a reasonable time; or

c) Repair or replacement would cause you significant inconvenience.

5.5. This guarantee does not cover defects caused by your improper use, maintenance, installation, or normal wear and tear.

5.6. To exercise this right, you must contact us at wiperjetshop@gmail.com with a description of the defect and proof of purchase.

SECTION 6 - RIGHT OF WITHDRAWAL (14-DAY COOLING-OFF PERIOD)

6.1. This section applies only to Buyers who are "Consumers" (a natural person acting for purposes outside their trade, business, craft, or profession).

6.2. You have the right to withdraw from the Contract within 14 (fourteen) days without giving any reason.

6.3. The withdrawal period will expire after 14 (fourteen) days from the day on which you (or a third party designated by you) acquire physical possession of the Products.

6.4. To exercise the right of withdrawal, you must inform us of your decision by an unequivocal statement (e.g., an email) sent to wiperjetshop@gmail.com.

6.5. Effects of withdrawal:

a) If you withdraw from the Contract, we shall reimburse all payments received from you, including the costs of delivery (except for the supplementary costs arising if you chose a type of delivery other than the least expensive type of standard delivery offered by us).

b) We will make the reimbursement without undue delay, and not later than 14 (fourteen) days from the day on which we are informed of your decision to withdraw. We may withhold reimbursement until we have received the Products back or you have supplied evidence of having sent back the Products, whichever is earliest.

c) We will use the same means of payment as you used for the initial transaction, unless you have expressly agreed otherwise.

6.6. Return of Products:

a) You shall not return the products without informing MB Latvilita in advance.

b) You shall send back the Products to an address, which MB Latvilita representative will inform you about upon request, without undue delay and in any event not later than 14 (fourteen) days from the day on which you communicated your withdrawal.

c) You will have to bear the direct cost of returning the Products.

d) You are only liable for any diminished value of the Products resulting from handling other than what is necessary to establish the nature, characteristics, and functioning of the Products.

6.7. Exceptions: The right of withdrawal does not apply to:

a) Goods made to your specifications or clearly personalized.

b) Sealed goods which are not suitable for return due to health protection or hygiene reasons and were unsealed after delivery.

SECTION 7 - INTELLECTUAL PROPERTY

7.1. Our Services, including but not limited to all trademarks, brands, text, displays, images, graphics, and audio (the "Content"), are owned by MB Latvilita, its affiliates, or licensors and are protected by copyright and other intellectual property laws.

7.2. These Terms permit you to use the Services for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, or transmit any of the Content without our prior written consent.

7.3. WiperJet’s names, logos, product and service names, designs, and slogans are trademarks of MB Latvilita. You must not use such marks without our prior written permission. All other names, logos, and slogans on the Services are the trademarks of their respective owners.

SECTION 8 - OPTIONAL TOOLS

8.1. We may provide you with access to third-party tools over which we neither monitor nor have any control nor input.

8.2. You acknowledge and agree that we provide access to such tools ”as is” and “as available” without any warranties, representations, or conditions of any kind and without any endorsement. We shall have no liability whatsoever arising from or relating to your use of optional third-party tools.

SECTION 9 - THIRD-PARTY LINKS

9.1. Certain content, products, and services available via our Service may include materials from third parties.

9.2. Third-party links on this site may direct you to third-party websites that are not affiliated with us. We are not responsible for examining or evaluating the content or accuracy and we do not warrant and will not have any liability or responsibility for any third-party materials or websites.

9.3. We are not liable for any harm or damages related to your access of any third-party websites, or your purchase or use of any products, services, resources, or content on any third-party websites. Complaints, claims, concerns, or questions regarding third-party products and services should be directed to the third-party.

SECTION 10 - RELATIONSHIP WITH SHOPIFY

10.1. Our store is hosted by Shopify Inc., which provides the e-commerce platform. However, any sales and purchases you make in our Store are made directly with WiperJet (MB Latvilita).

10.2. By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of any sales between you and WiperJet, including any injury, damage, or loss resulting from purchased products and services.

10.3. You hereby expressly release Shopify and its affiliates from all claims, damages, and liabilities arising from or related to your purchases and transactions with WiperJet.

SECTION 11 - PRIVACY AND PERSONAL DATA

11.1. Your submission of personal information through the store is governed by our Privacy Policy and is processed in accordance with the General Data Protection Regulation (GDPR) (EU) 2016/679 and the Republic of Lithuania's Law on Legal Protection of Personal Data.

11.2. As our Services are hosted by Shopify, Shopify also collects and processes personal information. Information you submit to the Services will be transmitted to and shared with Shopify as well as third parties that may be located in other countries than where you reside. SECTION 12 - FEEDBACK AND USER COMMENTS

12.1. If you send certain specific submissions (for example, reviews or feedback), you agree that we may, at any time, without restriction, edit, copy, publish, distribute, translate and otherwise use in any medium any comments that you forward to us.

12.2. We are and shall be under no obligation (1) to maintain any comments in confidence; (2) to pay compensation for any comments; or (3) to respond to any comments.

12.3. You represent and warrant that your comments will not violate any right of any third-party, including copyright, trademark, privacy, or other personal or proprietary right. You further agree that your comments will not contain libelous or otherwise unlawful, abusive or obscene material, or contain any computer virus or other malware.

12.4. You may not use a false email address, pretend to be someone other than yourself, or otherwise mislead us or third-parties as to the origin of any comments. You are solely responsible for any comments you make and their accuracy. We take no responsibility and assume no liability for any comments posted by you or any third-party.

SECTION 13 - ERRORS, INACCURACIES AND OMISSIONS

13.1. Occasionally there may be information on our site or in the Service that contains typographical errors, inaccuracies, or omissions that may relate to product descriptions, pricing, promotions, offers, product shipping charges, transit times, and availability.

13.2. We reserve the right to correct any errors, inaccuracies, or omissions, and to change or update information or cancel orders if any information in the Service or on any related website is inaccurate at any time without prior notice (including after you have submitted your order).

SECTION 14 - PROHIBITED USES

14.1. In addition to other prohibitions as set forth in the Terms, you are prohibited from using the site or its content:

a) for any unlawful purpose;

b) to solicit others to perform or participate in any unlawful acts;

c) to violate any international, EU, or national regulations, rules, laws, or local ordinances;

d) to infringe upon or violate our intellectual property rights or the intellectual property rights of others;

e) to harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate; (f) to submit false or misleading information;

g) to upload or transmit viruses or any other type of malicious code;

h) to collect or track the personal information of others; (i) to spam, phish, pharm, pretext, spider, crawl, or scrape;

(j) for any obscene or immoral purpose;

k) to interfere with or circumvent the security features of the Service; or

l) to reproduce, duplicate, copy, sell, resell or exploit any portion of the Service.

14.2. We reserve the right to terminate your use of the Service for violating any of the prohibited uses.

SECTION 15 - DISCLAIMER OF WARRANTIES (FOR SERVICE)

15.1. This section relates to the use of the website Service, not the Products themselves. Your mandatory statutory rights for Products are covered in Section 5 (Legal Guarantee) and are not affected by this disclaimer.

15.2. We do not guarantee, represent or warrant that your use of our website Service will be uninterrupted, timely, secure or error-free.

15.3. You agree that from time to time we may remove the Service for indefinite periods of time or cancel the Service at any time, without notice to you.

15.4. The Service is provided 'as is' and 'as available' for your use, without any representation, warranties or conditions of any kind, either express or implied, including all implied warranties or conditions of merchantability, merchantable quality, fitness for a particular purpose, durability, title, and non-infringement, except for those warranties that are legally mandatory and cannot be excluded, such as the Legal Guarantee in Section 5.

SECTION 16 - LIMITATION OF LIABILITY

16.1. To the fullest extent permitted by law, in no case shall WiperJet (MB Latvilita), our directors, officers, employees, affiliates, agents, contractors, interns, suppliers, service providers or licensors, or those of Shopify and its affiliates, be liable for any injury, loss, claim, or any indirect, incidental, punitive, special, or consequential damages of any kind, including, without limitation lost profits, lost revenue, lost savings, loss of data, replacement costs, or any similar damages, whether based in contract, tort (including negligence), strict liability or otherwise, arising from your use of any of the Service or any products procured using the Service.

16.2. This limitation of liability shall not apply to the extent that it is prohibited by applicable law, such as liability for death or personal injury caused by our gross negligence or willful misconduct, for fraud, or for a breach of your statutory rights regarding product conformity (as outlined in Section 5).

SECTION 17 - INDEMNIFICATION

17.1. You agree to indemnify, defend and hold harmless MB Latvilita, Shopify, and our affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, and employees, harmless from any claim or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of your breach of these Terms or your violation of any law or the rights of a third party. 

17.2. We will notify you of any indemnifiable claim, provided that a failure to promptly notify will not relieve you of your obligations unless you are materially prejudiced. We may control the defense and settlement of such claim at your expense, including choice of counsel. You will cooperate in the defense of indemnified claims.

SECTION 18 - SEVERABILITY

18.1. In the event that any provision of these Terms is determined to be unlawful, void, or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these Terms. Such determination shall not affect the validity and enforceability of any other remaining provisions.

SECTION 19 - TERMINATION

19.1. These Terms are effective unless and until terminated by either you or us. You may terminate these Terms at any time by notifying us that you no longer wish to use our Services, or when you cease using our site.

19.2. If in our sole judgment you fail, or we suspect that you have failed, to comply with any term or provision of these Terms, we also may terminate this agreement at any time without notice and you will remain liable for all amounts due up to and including the date of termination.

19.3. The obligations and liabilities of the parties incurred prior to the termination date shall survive the termination of this agreement for all purposes.

SECTION 20 - ENTIRE AGREEMENT & WAIVER

20.1. The failure of us to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

20.2. These Terms and any policies or operating rules posted by us on this site or in respect to the Service constitute the entire agreement and understanding between you and us and govern your use of the Service, superseding any prior or contemporaneous agreements, communications and proposals, whether oral or written, between you and us.

20.3. Any ambiguities in the interpretation of these Terms shall not be construed against the drafting party.

SECTION 21 - ASSIGNMENT

21.1. You may not delegate, transfer or assign this Agreement or any of your rights or obligations under these Terms without our prior written consent, and any such attempt will be null and void. We may transfer, assign, or delegate these Terms and our rights and obligations without consent or notice to you.

SECTION 22 - GOVERNING LAW AND DISPUTE RESOLUTION

22.1. These Terms and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of the Republic of Lithuania.

22.2. We shall attempt to resolve all disputes arising from these Terms through amicable negotiation.

22.3. If an agreement cannot be reached through negotiation, you (if you are a Consumer) have the right to submit a request/complaint to the State Consumer Rights Protection Authority (VVTAT) of the Republic of Lithuania (Vilniaus g. 25, 01402 Vilnius, email: tarnyba@vvtat.lt, website: www.vvtat.lt).

22.4. You (if you are a Consumer) may also use the European Commission's Online Dispute Resolution (ODR) platform, which is accessible at: https://www.google.com/search?q=http://ec.europa.eu/odr/.

22.5. In the event that a dispute cannot be resolved by the above means, it shall be settled in the competent courts of the Republic of Lithuania in accordance with the procedure established by law.

23.2. We reserve the right, at our sole discretion, to update, change or replace any part of these Terms by posting updates and changes to our website. It is your responsibility to check our website periodically for changes. We will notify you of any material changes to these Terms in accordance with applicable law. Your continued use of or access to our website or the Service following the posting of any changes constitutes acceptance of those.
